VendKeys.com is a digital marketplace for software licenses, subscription accounts, gift cards, and digital downloads. We operate as an independent reseller — we are not affiliated with, endorsed by, or sponsored by any of the publishers whose products we list (Microsoft, Adobe, Norton, Bitdefender, etc.). All trademarks remain the property of their respective owners.

Legal positioning — exhausted licenses (UsedSoft)

The resale of "used" or "exhausted" software licenses within the European Union is governed by the Court of Justice of the European Union's landmark ruling in UsedSoft GmbH v Oracle International Corp. (C-128/11, 3 July 2012). Key holdings:

  1. The first sale of a software copy by the rightholder, with the right to use that copy for an unlimited period, exhausts the rightholder's distribution right within the EU.
  2. After exhaustion, the original purchaser is entitled to resell the license to a third party, including by digital download, provided that the original copy is rendered unusable on the seller's side at the moment of resale.
  3. This exhaustion principle applies to perpetual / one-time-payment licenses but does not extend to time-limited subscriptions in the same way (case law on subscriptions remains more contested).

VendKeys.com sources its inventory from authorized resellers, surplus volume licenses with proper deactivation procedures, and region-priced retail channels. We do not produce keys, do not generate them via key generators, and do not sell licenses obtained through any unauthorized channel.

Caveat: The UsedSoft framework applies in the EU. Outside the EU (US, UK post-Brexit, etc.) the legal position differs — see your local law and the publisher's EULA. End users are responsible for compliance with the publisher's EULA in their own jurisdiction.
